1. Who we are
Purchasly is a purchase order, supplier contract and budget control platform for UK care providers. It is operated by Digital Staff Solutions Ltd, a company registered in England and Wales (company number 10434349). Our registered office is at 25 Luke Street, London, EC2A 4DS. In these terms, “we”, “us” and “our” mean Digital Staff Solutions Ltd, and “you” means the organisation or individual using the service.
2. Agreement to these terms
By accessing or using Purchasly, you agree to be bound by these terms. If you are using the service on behalf of an organisation, you confirm you have authority to bind that organisation. If you do not agree, you must stop using the service.
3. Your account
You are responsible for keeping your account credentials secure and for all activity that happens under your account. You must tell us promptly if you suspect any unauthorised access. Admin users in your organisation control who has access and what role they have inside Purchasly.
4. Acceptable use
You agree not to:
- use Purchasly for any unlawful, fraudulent or misleading purpose;
- upload content that infringes another person’s rights or contains malware;
- attempt to access parts of the service you are not authorised to use;
- resell, sublicense or white-label the service without our written consent;
- interfere with the integrity, performance or security of the service.
5. Your data and content
You retain ownership of the data you enter into Purchasly (purchase orders, supplier records, invoices, contracts and so on). You grant us a limited licence to host, copy and process that data only to operate and improve the service for you, and to comply with the law. We process personal data in line with our Privacy Notice.
6. Fees and payment
Subscription fees, billing frequency and any usage-based charges are set out in the order form or pricing schedule agreed with you. Unless stated otherwise, fees are quoted exclusive of VAT and are non-refundable. We may update pricing on renewal with reasonable notice.
7. Service availability
We aim to make Purchasly available 24/7, but we do not guarantee uninterrupted access. From time to time the service may be unavailable due to planned maintenance, updates or events outside our reasonable control. Where possible we will give you advance notice of planned downtime.
8. Third-party services
Purchasly may integrate with third-party services (for example accounting systems, email delivery or AI providers). Your use of those services is governed by their own terms. We are not responsible for third-party services we do not control.
9. Confidentiality
Each party will keep the other’s confidential information secret and use it only to perform this agreement. This does not apply to information that is already public, becomes public through no fault of the receiving party, or must be disclosed by law.
10. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law. Subject to that, our total liability to you under or in connection with these terms in any 12 month period is limited to the fees you paid for the service in that period. We are not liable for indirect or consequential loss, loss of profit, loss of goodwill or loss of anticipated savings.
11. Suspension and termination
You may stop using the service and cancel your subscription in line with your order form. We may suspend or terminate access if you materially breach these terms, fail to pay fees when due, or use the service in a way that risks harm to other users or to the platform. On termination, we will make your data available for export for a reasonable period before deleting it from active systems.
12. Changes to these terms
We may update these terms from time to time. If we make material changes we will give you reasonable notice, for example by email or via the application. Continued use of the service after changes take effect means you accept the updated terms.
13. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these terms or the service.
